Welcome to Chester Wholesale (“Company,” “we,” “us,” or “our”). By accessing, registering an account, or placing an order on www.chester-wholesale.odoo.com (the "Site"), you agree to be bound by these Terms and Conditions.

This Site is strictly for Wholesale Business-to-Business (B2B) transactions only. No retail sales to the general public are permitted, either online or in person.

To access or use this Site, you explicitly represent and warrant that:

• You are an authorized representative of a valid, legal business entity.

• You and all individuals operating the account are at least 21 years of age.

• You possess all necessary local, state, and federal licenses to purchase and resell tobacco, smoking accessories, and related products.

2. ACCOUNT REGISTRATION AND VERIFICATION 

Before purchasing, you must create a wholesale account. You agree to provide accurate, current, and complete information, including but not limited to your Employer Identification Number (EIN), state tax ID, and valid tobacco/vape resale licenses. We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion if we suspect unauthorized, retail, or underage use.

3. COMPLIANCE WITH LAWS 

You (the Buyer) are solely responsible for compliance with all applicable local, state, and federal laws, statutes, ordinances, and regulations regarding the purchase, possession, marketing, and resale of tobacco and smoke shop products. We make no representations regarding the legal status of any product in your specific jurisdiction.

4. LIMITATION OF LIABILITY (LEGAL PROTECTION) 

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHESTER WHOLESALE, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, OR DATA) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THIS SITE OR THE PRODUCTS PURCHASED HEREIN.

All products are sold "AS IS" and "WHERE IS." We strictly disclaim any and all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. We assume no responsibility or liability for how the products are used, consumed, or resold after leaving our facility.

5. INDEMNIFICATION 

You agree to indemnify, defend, and hold harmless Chester Wholesale and its affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from your: (a) violation of these Terms and Conditions; (b) violation of any law or regulation (including FDA regulations or age-restriction laws); (c) resale, marketing, or distribution of our products; or (d) any harm, injury, or death resulting from the end-user consumption of products purchased from us.

6. NO RETAIL SALES 

Under no circumstances will we sell to retail consumers. If we determine that an account is purchasing for personal consumption rather than business resale, the account will be immediately terminated without notice.

7. GOVERNING LAW 

These Terms shall be governed by and construed in accordance with the laws of the State of Pennsylvania, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the courts located in Delaware County, Pennsylvania.
